Territory: These Terms apply only to users in Canada.

By creating an account, joining a waitlist, or using ConstructPro (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

0. Definitions

Business User or Employer means an organization (and its authorized representative) using employer features. Consumer User or Candidate means an individual using the Service for personal career-related purposes.

1. Who may use the Service

  • You must be the age of majority in your province/territory; if under the age of majority, you must have parent/guardian consent.
  • If you create an employer account, you represent you have authority to bind the organization.
  • You will provide accurate information and keep credentials secure.

2. What ConstructPro is (and isn’t)

ConstructPro is a platform that helps employers discover construction professionals and helps candidates present skills and experience. We are not an employer, recruiter, background-check provider, or law firm. We do not guarantee job offers, hiring outcomes, or candidate suitability. Employers are solely responsible for legal compliance (e.g., human rights/anti-discrimination, privacy, wage/hour, health & safety). Candidates are responsible for the accuracy and legality of the content they provide.

3. Accounts; your responsibilities

You’re responsible for all activity on your account. Notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or applicable law.

4. Acceptable use (summary)

Do not: (i) post illegal/infringing/defamatory/harassing content; (ii) misrepresent identity or credentials; (iii) scrape, reverse engineer, or bypass security; (iv) post discriminatory job criteria; (v) collect or request sensitive data from candidates (e.g., health, union membership, religion) unless lawful and necessary; (vi) spam or send unsolicited commercial electronic messages contrary to CASL. See the Acceptable Use Policy for details.

5. User content & license

You own your content. You grant ConstructPro a worldwide, non-exclusive, royalty-free license to host, process, reproduce, modify (formatting), and display your content solely to operate, improve, and provide the Service. You represent you have all rights to grant this license. We may use de-identified/aggregated data for analytics and service improvement.

6. Subscriptions; billing (employers)

  • You authorize charges to your payment method via our processor (e.g., Stripe).
  • Auto-renewal: Plans renew until cancelled. Manage billing in the Customer Portal.
  • Fees/Taxes: Fees exclude applicable taxes. Prices may change on renewal with prior notice.
  • Trials/Promos: We may modify/terminate trials for misuse or ineligible accounts.
  • Refunds: Except as required by law, fees are non-refundable and partial periods aren’t credited.
  • Chargebacks: Contact us first to resolve billing issues.

For annual subscriptions, we send a renewal reminder at least 30 days before renewal with instructions to cancel in the Customer Portal. You can cancel anytime; cancellation takes effect at the end of the current term.

8. Third-party services

We use third parties (hosting, email, analytics, payments). Their terms/privacy apply to their services. We’re not responsible for third-party sites/services outside our control.

9. Intellectual property

The Service (software, design, trademarks, and content we provide) is owned by us or our licensors. Except for rights expressly granted, no license is transferred.

10. Feedback

If you give feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

11. Beta/pre-release features

Beta features are provided as-is, may change, and may have additional risks. Use at your discretion.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY CANADIAN LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, AND ACCURACY.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, CONSTRUCTPRO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

FOR BUSINESS USERS, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) CAD $100 OR (B) THE FEES YOU PAID TO CONSTRUCTPRO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Consumer and Québec carve-outs. Nothing in these Terms excludes or limits liability for intentional or gross fault, or for bodily or moral injury (Civil Code of Québec, art. 1474), or where otherwise prohibited by consumer-protection law. For Consumer Users, any limitation or exclusion applies only to the extent permitted by law.

14. Release; No lawsuit covenant

Business Users only. To the maximum extent permitted by law, you release and covenant not to sue ConstructPro and its affiliates, officers, employees, and agents for claims arising out of or relating to: (i) your use of the Service; (ii) user-generated content; (iii) third-party services; or (iv) your interactions with other users.

For Consumer Users, this section applies only to the extent permitted by applicable law and does not waive non-waivable rights under provincial/territorial consumer protection statutes (e.g., Québec Consumer Protection Act).

15. Dispute resolution (Canada)

  • Business users (employers): Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration under the ADRIC Arbitration Rules. Seat: Ontario; language: English; one arbitrator. No class arbitration/class actions.
  • Consumer users (candidates): To the extent required by law (including Québec, Ontario, and British Columbia), any term requiring arbitration or waiving rights to bring or participate in a class proceeding does not apply. Consumers may bring claims in small claims court or another court of competent jurisdiction. Consumers may agree to arbitration after a dispute arises.
  • You and we waive jury trial to the extent permitted by law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your account for cause (including violation of these Terms, legal requirements, or risk to the safety, security, or rights of others). In emergencies, we may take immediate action. Sections intended to survive (e.g., IP, payment, disclaimers, liability limits, dispute resolution) survive termination.

If ConstructPro terminates a Business User subscription without cause, we will provide a pro‑rata refund of prepaid, unused fees.

17. Changes

We may update the Service and these Terms. We’ll post changes with a new Effective Date and provide notice of material changes. Changes to subscription pricing or material paid features take effect on the next renewal. If you do not agree to material changes, you may cancel before they take effect.

18. Governing law & venue

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law rules, except where provincial law mandates otherwise (e.g., Québec). Subject to Section 15, courts in Toronto, Ontario have exclusive jurisdiction for non-arbitrable disputes.
